Item 2.05 Costs Associated with Exit or Disposal Activities On September 8, 2026, Alamo Group Inc. (the “Company”), as part of its ongoing review of its product portfolio, decided to cease production of its Boxer branded line of products. The Company estimates that it will incur approximately $7.0 million to $10.0 million in charges in the third quarter of 2026 in connection with this action.
The estimates of charges are subject to a number of assumptions, including, but not limited to, the net realizable value of related inventory and equipment returns. The Company may incur other charges not currently contemplated due to unanticipated events that may occur.
