Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed, on June 29, 2026, Linkhome Holdings Inc. (the “Company”) received a notice from the Listing Qualifications staff of The Nasdaq Stock Market LLC (“Nasdaq”)
stating that the closing bid price of the Company’s common stock had been below $1.00 per share for 30 consecutive business days.
As a result, the Company was not in compliance with the minimum bid price requirement for continued listing on the Nasdaq Capital Market set forth in Nasdaq Listing Rule 5550(a)(2) (the “Minimum Bid Price Requirement”).
On September 18, 2026, the Company received written notification from Nasdaq that, for the 10 consecutive business days from September 3, 2026 through September 17, 2026, the closing bid price of the Company’s common stock had been at least $1.00 per share. Accordingly, Nasdaq determined that the Company had regained compliance with the Minimum Bid Price Requirement and that the matter is now closed.
